TERMS & CONDITIONS

The terms and conditions listed below apply to supply of services between you as "the Client" as hereinafter defined and us accurateorganiser as hereinafter defined, these terms and conditions do not affect your statutory rights as a consumer.

1. Definitions

(a) “accurateorganiser” means Lorna Walls trading as accurateorganiser c/o 14 Rutland Square, Edinburgh.

(b) “the Client” means the Client as detailed on the Request for Services Form, where more than one person is specified as the Client then each and every person is joint and severally responsible for performance of the contract as referred to in Condition 2 hereof.

(c) “Request for Services Form” means the order form produced by accurateorganiser and which refers to these terms and conditions which are deemed to be incorporated therein.

(d) “the Services” means the secretarial and administration services specified in the Request for Services Form.

2. Contract between accurateorganiser and the Client

2.1 The Client must submit a Request for Services Form to accurateorganiser in respect of the services fully completed with all the details requested by accurateorganiser. Such submission shall be made either by the Client forwarding the completed Request for Services Form to accurateorganiser by email, fax or post or by the Client signing a Request for Services Form prepared by accurateorganiser from information supplied by the Client, such signed Form to be submitted to accurateorganiser by email, fax or post.

2.2 accurateorganiser will confirm that the Client’s request for services has been accepted either by sending an email to the Client at the email address provided in the Request for Services Form or by fax to the fax number provided on the Request for Services Form or by post to the postal address provided on the Request for Services Form. accurateorganiser’s acceptance of the Client’s order brings into existence a legally binding contract between accurateorganiser and the Client.

2.3 It is the Client's responsibility to ensure that all the information given on the Request for Services Form is complete and accurate. In the event that the details given on the Request for Services Form are incomplete, misleading or incorrect, the Client will be responsible for any costs associated in any remedial action required.

2.4 In the event that the Client is a consumer as defined in The Consumer Protection (Distance Selling) Regulations 2000 or any re-enactment thereof then the Client has a right to cancel the contract between accurateorganiser and the Client within a period of seven working days starting on the day after the Client submits the request for Services Form. Written notice of cancellation must be given by the Client to accurateorganiser in writing by fax, post or email. accurateorganiser will return any payment made by the Client to accurateorganiser within 30 days of the date of the notice of cancellation. The right to cancel shall not apply where the services have commenced to be provided to the Client.

3. Contract Period

The contract period shall commence at the commencement of the provision of the services to the Client by accurateorganiser and will terminate on the completion of the services by accurateorganiser.

4. Charges for the Service

4.1 The charge for the services shall be payable within 14 days of submission of an invoice by accurateorganiser to the Client. In the event of late payment by the Client interest shall become due and payable on the amount outstanding from day to day at the annual rate of 2% over the base lending rate of the Governor and Company of the Bank of Scotland.

4.2 accurateorganiser’s charges for Services are as set out in its price list which is available on application to accurateorganiser and the charges applicable for the Services will be recorded on the Request for Services Form.

4.3 The charge for the Services is exclusive of any VAT that may be chargeable and any VAT payable on the charge for the Services shall be payable by the Client to accurateorganiser in addition to the said charge.

4.4 The charge for Services will be applicable to Saturdays, Sundays and Public Holidays.

4.5 The charge for Services is exclusive of charges for incidentals. accurateorganiser will charge separately for costs incurred by it in performing the Services, for example postage costs, printing costs, stationery costs, carrier costs and software costs. Such incidental charges will be added to the invoice referred to in Clause 4.1 hereof and will be payable in accordance with said Clause.

5. Provision of the Services

5.1 The Services will be performed either at the Client’s place of business or at accurateorganiser’s own premises depending on the nature of the Services required and subject to agreement with accurateorganiser.

5.2 It is the Client’s responsibility to provide to accurateorganiser timeously and in any event prior to the commencement of the contract all information, software, discs, audio tapes and stationery that is required by accurateorganiser to perform the Services.

5.3 If the Services are to be performed at the Client’s place of business as agreed with accurateorganiser, then the Client must ensure that accurateorganiser can use and has access at all times during the period of the contract to equipment and ancillary items such as stationery suitable for performing the Services.

5.4 The performance of some services may entail the production of proofs by accurateorganiser for the Client’s approval, it will be the Client’s responsibility to check such proofs and the Client’s signature acknowledging satisfaction with the proofs shall be conclusive evidence that the Client accepts the content of the proofs.

5.5. accurateorganiser will email work completed in relation to the Services to the email address provided by the client on the Request for Services Form unless the client has special requirements for delivery as specified by the Client on said form. In the event that the Client requests accurateorganiser to deliver any item of work performed in relation to the services, accurateorganiser will use reasonable endeavours to do this where the delivery address is within the City of Edinburgh however if necessary accurateorganiser shall be entitled to instruct a courier or other appropriate delivery method and any costs incurred in this regard shall be charged as an incidental to the Client in terms of clauses 4.1 and 4.5 hereof.

5.6 The Client will be responsible for checking any item of work produced by accurateorganiser in relation to the performance of the Services on receipt of the work from accurateorganiser and if satisfied the Client will sign a duplicate of the Request for Services Form acknowledging the Client’s satisfaction and such signature shall be evidence of the Client’s satisfaction with the performance of the Services. In the event that the Client is not satisfied with the performance of the services for a reason that is due to the fault or negligence of accurateorganiser in terms of these Terms and Conditions, then accurateorganiser will use all reasonable endeavours to remedy the problem as soon as reasonably practicable.

6. No liability on the part of accurateorganiser unless in default

accurateorganiser shall not be liable to the Client for loss or damage to the Client’s property unless due to the negligence or other failure of accurateorganiser to perform its obligations under these terms and conditions or under the general law.

7. Secrecy

accurateorganiser will use all reasonable endeavours not to divulge or allow to be divulged to any person any confidential information relating to the business or affairs of the Client.

8. Events beyond accurateorganiser's control

accurateorganiser shall have no liability to the Client for any failure to deliver the services ordered by the Client or any delay in doing so that is caused by any event or circumstance beyond accurateorganiser's reasonable control including, without limitation, strikes, lock outs and other industrial disputes, breakdown of systems or network access, flood, fire, explosion or accident and failure of the Client to adhere to its obligations in terms of these Terms and Conditions. Where performance of the contract is impossible the Client shall immediately pay to accurateorganiser all charges for services then due and payable.

9. Termination

accurateorganiser may terminate the contract with the Client if:-

a) the Client is in breach of contract and/or in breach of these terms and conditions or

b) due to an operational reason

If accurateorganiser does terminate the contract with the Client accurateorganiser will notify the Client by email, fax or letter and will refund the Client the charge for the services or the applicable proportion thereof, accurateorganiser will not be obliged to offer any additional compensation for disappointment suffered.

10. Privacy Policy

The Client acknowledges and agrees to be bound by terms of accurateorganiser's Privacy Policy.

11. General Terms

Should any of these terms and conditions be held to be unenforceable or invalid (including any provision in which accurateorganiser excludes its liability to the Client), the validity of the remaining terms and conditions will remain unaffected and shall be in full force and effect. No waiver of any right or breach by accurateorganiser under these terms and conditions shall be effective unless in writing and signed by Lorna Walls.

11.1 Save as precluded by law, accurateorganiser will not be liable to the Client for any indirect or consequential loss, damage or expenses (including loss of profits, business or goodwill) howsoever arising out of and accurateorganiser shall have no liability to pay any money to the Client by way of compensation other than to refund to the Client the amount paid by the Client for the charge for Services.

11.2 Notwithstanding the foregoing, nothing in these Terms and Conditions is intended to limit any rights the Client might have as a consumer under applicable local law or other statutory rights that may not be excluded nor in any way to exclude or limit accurateorganiser's liability to the Client for any death or personal injury resulting from accurateorganiser's negligence.

12. Governing Law & Jurisdiction

The construction, validity and performance of these terms and conditions in any dispute arising from them shall be governed by the laws of Scotland and the Scottish Courts shall have jurisdiction in any disputes between the parties hereto.

13. Entire Agreement

These terms and conditions, Request for Services Forms contact details and privacy policy, set out the whole of the agreement relating to the provision of the services to the Client. Nothing said by any person on accurateorganiser's behalf should be understood as a variation of these terms and conditions or as an authorised representation about the nature of the Services. Save for fraud or fraudulent misrepresentation, accurateorganiser shall have no liability for any such representation being untrue or misleading.

14. Status of accurateorganiser

During the period of the contract accurateorganiser shall be an independent contractor and not a servant of the Client. accurateorganiser shall not be subject to directions from the Client as to the manner in which the services are performed.
